Lodestar — Confidentiality Agreement
Our written promise to you.
This is our commitment to keep what you share with us private. It binds us — Lodestar — not you. By accepting it, you take on no obligations and give up nothing. You are simply receiving our promise, in writing, before you share anything sensitive.
In this agreement, "Lodestar," "we," and "us" mean Superhumancy LLC, doing business as Lodestar, located at 25 Main Street, Unit B, Sparta, NJ 07871, and "you" means the business owner accepting it.
1. What we treat as confidential
Everything you share with us — and the fact that we are talking at all — is confidential. That includes:
- Your identity and your company's identity.
- The fact that you contacted us, requested a valuation, or are considering a sale, and the existence and content of any conversation between us.
- Your financial information, tax records, customer and employee details, and any documents or information you provide.
- The valuation report we prepare for you, and any analysis derived from your information.
This covers what you have already shared and anything you share later — written, spoken, or electronic.
2. What we promise to do
Keep it private. We will not disclose your information, or the fact of our discussions, to anyone outside Lodestar.
Use it only for you. We will use your information solely to prepare and discuss your confidential valuation — nothing else.
Never list or shop your business. We will not market, advertise, post, auction, or publicly list your business, and we will never share your identity or information with a buyer or any other third party — unless you specifically direct us to do so in writing. Nothing moves without your say-so.
Stay out of your world. We will not contact your employees, customers, suppliers, or competitors, or do anything that would signal to anyone that you may be exploring a sale.
Guard your information. We limit access to your information to the people at Lodestar who need it for this work, and we protect it with reasonable safeguards.
3. The few things this doesn't cover
This promise does not apply to information that:
- Is or becomes public through no fault of ours.
- We already had, or lawfully receive from someone else who is free to share it.
- We are legally required to disclose — for example, by a valid court order, subpoena, or government authority. If that happens, we will tell you first whenever we are legally allowed to, and disclose only what we are required to.
4. You stay in control
Accepting this agreement does not obligate you to sell your business, to share anything further, or to hire Lodestar for anything. You can stop at any time.
5. What this is — and isn't
This is a confidentiality commitment, and only that. It is not an engagement, representation, or advisory agreement, and it does not make Lodestar your broker or agent. Any valuation we provide is a preliminary opinion of value, not a certified appraisal — and nothing here is an offer to buy or sell a business or any securities.
6. How long it lasts
Our confidentiality promise continues for as long as your information remains private. It does not expire simply because our conversations end.
7. Other terms
This agreement is governed by the laws of the State of New Jersey. If any part of it cannot be enforced, the rest still applies.
