Lodestar Terms of Service

These Terms govern your use of withlodestar.com and the services offered through it. By using the site or requesting a valuation, you agree to these Terms. In these Terms, "Lodestar," "we," and "us" mean Superhumancy LLC, doing business as Lodestar, 25 Main Street, Unit B, Sparta, NJ 07871; "you" means the person using the site or services.

1. What we provide

Lodestar is an M&A advisory that prepares confidential business valuations and related information for owner-operated businesses. A valuation we provide is a preliminary opinion of value, prepared from the information you provide against current market data, and reviewed by a human advisor before delivery.

2. What these services are not

  • Not an appraisal. Our valuations are preliminary opinions of value, not certified or USPAP-compliant appraisals.
  • Not professional advice. We do not provide legal, tax, accounting, or investment advice. Consult your own advisors before acting.
  • Not a securities offer or brokerage. Nothing on the site or in any Lodestar communication is an offer or solicitation to buy or sell a business or any security.
  • No relationship formed by use. Using the site, requesting a valuation, or receiving a confidentiality agreement does not create an advisory, agency, fiduciary, or broker relationship. Any engagement to represent you is separate and in writing.

3. Eligibility

You must be at least 18. By submitting a business's information, you represent that you own that business or are authorized to act on its behalf and to share the information you provide.

4. Your responsibilities

You agree to provide accurate information, to submit only information you are authorized to share, and not to misuse the site — including no unlawful use, no attempts to disrupt or gain unauthorized access, and no scraping, copying, or reverse-engineering of the site or its content.

5. Information you submit

The confidential information you submit is governed by our Confidentiality Agreement. You grant us permission to use that information solely to prepare and discuss your valuation.

6. Intellectual property

The site and its content are owned by Lodestar. Any valuation report we prepare is provided for your own use; you may use it for your own business purposes but may not resell or publicly republish our content. We retain ownership of our templates, methods, and materials.

7. No guarantees

Any valuation is an estimate and depends on the accuracy and completeness of the information you provide. We do not guarantee that your business will sell, or sell at any particular price, or that any figure will be realized. You rely on any valuation at your own discretion.

8. Third-party services

The site relies on third-party providers and may link to third-party sites. We are not responsible for the content or practices of third parties.

9. Disclaimer of warranties

To the maximum extent permitted by law, the site and services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, Lodestar will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or business, arising from your use of the site or services. Our total liability for any claim will not exceed the greater of the fees you paid to us for the service at issue or US $100.

11. Indemnification

You agree to indemnify and hold Lodestar harmless from claims arising out of your misuse of the site or services or your breach of these Terms.

12. Governing law and venue

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in New Jersey, and you consent to their jurisdiction.

13. Changes to these Terms

We may update these Terms. Material changes take effect when we post them with an updated effective date; your continued use means you accept the updated Terms.

14. General

If any provision is unenforceable, the rest remain in effect. These Terms, together with the Privacy Policy and (where applicable) the Confidentiality Agreement, are the entire agreement between us regarding the site and services. Our failure to enforce a provision is not a waiver.
